Terms & Conditions
These Terms and Conditions ("Terms") govern your access to and use of the services provided by Nina Data Ltd ("NinaData"). By creating an account or using the Services, you agree to these Terms.
1. Access to the Services
Use of the Services requires account creation and NinaData's approval. We reserve the right to refuse or limit access at our discretion. We may request verification information, including your name, address, and identifying documentation. Individual applicants must be at least 18 years old. Only one account per person is permitted.
2. ads.txt
Publishers must publicly declare NinaData as an authorised seller by hosting the NinaData ads.txt file at their root domain (http://yourdomain.com/ads.txt). This file specifies the third parties authorised to resell inventory for ad serving.
3. Prohibited Content
The following content is prohibited on Properties using the Services:
- Illegal content or the promotion of illegal activity
- Pornography or adult content
- Graphic or gratuitous violence
- Hate speech or incitement to violence
- Harassment or the encouragement of harassment
- Disclosure of personal information without explicit consent
- Malicious code, malware, or spyware
- Intellectual property infringement
- Impersonation intended to confuse, defraud, or defame
- Other inappropriate content, at NinaData's sole discretion
4. Ad Placements
Publishers must provide high-quality, accurate metadata and description URLs. Video ad placements require standard aspect ratios — 16:9 for horizontal or 9:16 for vertical videos. In-stream placements must contain valid video content with a duration exceeding the total ad duration. Autoplay requires a minimum of 50% visibility. Only one video ad may play in view simultaneously. In-stream ads cannot be served in out-stream placements (display banners, placements without video content, or cycling ad units).
5. Changes
NinaData may modify the Services, add or remove features, or suspend operations. Modifications to these Terms are published online and require acceptance. Continued use indicates your agreement; if you disagree, you must discontinue use of the Services.
6. Payment
Payment is issued only when accounts remain compliant throughout the payment period. Payments are made by the end of the month following any month in which the balance reaches the $100 threshold, provided the account remains in good standing. Investigations or suspensions may delay or withhold payments. Publishers must maintain accurate contact and payment information.
Payments derive solely from NinaData's monitoring and reporting. Publishers receive payment only for impressions and events for which NinaData has received advertiser payment. If advertisers default, NinaData may withhold or charge back payments.
NinaData may withhold or adjust payments for invalid activity, including:
- Spam, invalid clicks, impressions, queries, or conversions from bots or automated programs
- Events originating from publisher IP addresses or controlled computers
- Solicited clicks or false-representation requests
- Events from browsers with disabled JavaScript or ad tampering
- Non-compliant Properties
- Events across multiple publisher accounts
- Accounts showing indicators of intentional misconduct
NinaData may debit accounts and offset future payments for detected invalid activity. Advertiser refunds or credits result in no publisher payment for the associated activity.
7. Suspension or Termination
NinaData may suspend payments, Properties, or entire accounts without warning due to invalid activity or non-compliance. Account termination for breach results in forfeiture of all prior payment entitlement. Breaching publishers may not create new accounts or monetize other NinaData products.
Disputes regarding payments or termination must be submitted within 30 days via written appeal. Failure to dispute waives all related claims. Publishers may terminate at any time by cancelling their account, which becomes effective within 10 business days of NinaData's receipt. Upon termination, if the account balance meets the threshold, payment occurs approximately 90 days after the month-end of termination. Balances below the threshold remain unpaid.
8. Taxes
NinaData is responsible for advertiser-related transaction taxes. Publishers are responsible for service-related taxes, excluding those based on NinaData's net income. Payments are tax-inclusive and will not be adjusted. NinaData may charge publishers for applicable withholding taxes on payments.
9. Intellectual Property
Each party retains its respective intellectual property rights. Software provided is licensed on a non-exclusive, non-sublicensable basis for using and enjoying the Services as permitted by these Terms. Publishers may not copy, modify, distribute, sell, lease, reverse engineer, or extract the source code of the software unless legally permitted or with written permission. Publishers must not remove or alter any copyright or proprietary rights notices.
NinaData grants a non-exclusive, non-sublicensable, revocable licence to use its Brand Features solely in connection with the Services and per these Terms. Goodwill from the use of Brand Features belongs to NinaData. NinaData may include a publisher's name and Brand Features in presentations, marketing materials, customer lists, and financial reports.
10. Privacy
NinaData's Privacy Policy governs the treatment of personal data and privacy protection. Publishers consent to data use per the Privacy Policy. Publishers must ensure their Properties display clearly labelled, accessible privacy policies that provide end users with comprehensive information about cookies, device-specific information, location information, and collected data, including cookie management options. Publishers must ensure end-user consent where legally required for storing and accessing cookies, device information, location data, or other information.
11. Warranties and Indemnification
Publishers represent and warrant that their Properties do not infringe third-party rights (copyright, trade secrets, proprietary rights, privacy, or publicity rights), do not include illegal or inappropriate content, comply with personal data laws, and that they have full authority to enter into the Agreement.
Publishers shall indemnify, defend, and hold NinaData, its officers, directors, employees, and agents harmless from all damages, claims, and liabilities (including reasonable attorney fees) arising from a breach of these representations and warranties.
12. Indemnification Conditions
Indemnification is conditional upon NinaData promptly providing written notice and copies of the claim; the publisher being given the opportunity to negate the claim; and NinaData not settling without the publisher's prior written consent, provided the publisher complies with its indemnification obligations.
13. Confidentiality
During the term of the Agreement and for five years afterward, each party will maintain the confidentiality of the other's business and technical information designated "Confidential" or "Proprietary" without prior written consent. Access is limited to employees and subcontractors with a legitimate need and confidentiality obligations. These restrictions do not apply to information that becomes publicly known, is lawfully received from an unbound third party, was previously known, is independently developed, or is legally required to be disclosed.
14. Limitation of Liability
Except for gross negligence and fraud, neither party is liable for loss of revenue, profit, business, or goodwill, or for any indirect, special, consequential, incidental, or punitive damages arising from the Agreement, except in respect of indemnification obligations.
15. Miscellaneous
(a) Governing Law. The Agreement is governed by the laws of Finland, excluding choice-of-law principles.
(b) Notices. All notices are in writing, delivered by email, and deemed given upon email receipt confirmation.
(c) No Agency. The parties are independent contractors with no power to create obligations for each other. The Agreement creates no partnership, agency, or joint venture.
(d) Force Majeure. Each party is excused from performance when hindered or prevented by fire, flood, earthquake, telecommunications or Internet failures, acts of God, war, riot, strike, lockout, or other uncontrollable circumstances, provided prompt written notice is given and reasonable efforts are made to minimise the hindrance and recommence performance.
(e) Severability. If any provision is unenforceable, the remaining provisions remain in full effect.
(f) Entire Agreement. The Agreement is complete and exclusive, superseding all prior agreements and communications regarding the subject matter.
(g) Amendment and Waiver. Modifications require written execution by both parties. Waivers require written execution by the waiving party.
16. Survival
The rights and obligations under Sections 12, 13, and 14 survive the expiration or termination of the Agreement in accordance with their respective terms.
